Terms of Service

These Terms of Service ("Terms") govern access to and use of the TCGSYNC2 Shopify application (the "App"), the TCGSync web platform at https://tcgsync.com and https://enterprise.tcgsync.com, and related inventory, order management, and synchronisation services (together, the "Service").

By installing the App, creating a TCGSync account, or using the Service, you agree to these Terms on behalf of the business or organisation you represent.

1. Who Provides The Service

The Service is provided by TCGSync, a UK-based business operating from 13 West Street, Barnsley, South Yorkshire, United Kingdom, S70 5PF. For legal or service enquiries, contact admin@tcgsync.com.

2. The Service

TCGSync provides software for trading-card retailers, including tools for catalogue management, inventory management, order management, marketplace synchronisation, fulfilment workflows, and Shopify store synchronisation. The App connects your Shopify store to your TCGSync workspace and forwards verified Shopify events so that relevant records can remain in sync.

3. Shopify Relationship

The App uses Shopify APIs and is intended to be used with Shopify stores. Shopify is not a party to these Terms and is not responsible for the Service. Your use of Shopify remains subject to Shopify's own terms, policies, access scopes, app installation flow, and billing requirements.

4. Merchant Responsibilities

You are responsible for:

  • Using the Service only for lawful business purposes.
  • Ensuring that your Shopify store and TCGSync workspace data is accurate.
  • Maintaining your Shopify account, TCGSync account, API credentials, and staff access securely.
  • Having the necessary rights and lawful basis to process and sync customer, order, product, and inventory data.
  • Reviewing synced data and resolving discrepancies that are visible to you.
  • Complying with applicable ecommerce, tax, consumer protection, privacy, and platform rules.

5. Access And Authentication

You must provide accurate account information and keep login details, Shopify credentials, API tokens, and staff permissions secure. You are responsible for activity carried out through your account, except to the extent caused by our breach of these Terms or applicable law.

6. Fees And Billing

If the App or Service is offered on a paid plan, fees, trials, renewals, upgrades, downgrades, and cancellations will be shown in the applicable checkout, Shopify app billing screen, order form, or service agreement. For Shopify app charges, billing is handled through Shopify unless Shopify permits another billing method. Any separate enterprise services may be governed by a separate written agreement.

7. Data Protection

Our Privacy Policy explains how we process personal data. Where we process customer personal data on your behalf, we act as your processor and our Data Processing Addendum applies. You can request the Data Processing Addendum at dpa@tcgsync.com.

You instruct us to process Shopify and TCGSync data as necessary to provide, secure, support, and improve the Service, respond to Shopify privacy webhooks, and comply with applicable law.

8. Acceptable Use

You must not:

  • Use the Service to violate any law, platform rule, or third-party right.
  • Attempt to bypass Shopify checkout, Shopify billing requirements, or Shopify platform restrictions.
  • Upload malicious code or interfere with the security or availability of the Service.
  • Reverse engineer, scrape, resell, or copy the Service except where allowed by law or written agreement.
  • Use the Service to send spam, unlawful marketing, or misleading communications.
  • Use customer personal data for purposes that customers have not been told about or that you cannot lawfully support.

9. Third-Party Services

The Service may integrate with Shopify, marketplaces, hosting providers, databases, payment or billing providers, logistics tools, and other third-party services. We are not responsible for third-party services that we do not control. Changes, downtime, API limits, or policy changes from third-party services may affect sync performance or availability.

10. Availability And Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted or error-free. We may update, improve, suspend, or discontinue parts of the Service where needed for security, compliance, maintenance, product development, or third-party platform changes. We will try to give reasonable notice where a material change negatively affects active merchants.

11. Intellectual Property

We retain all rights in the Service, including software, designs, workflows, documentation, trademarks, and other materials we provide. You retain rights in your store data, catalogue data, inventory data, customer data, and business content. You grant us the rights needed to host, process, transmit, display, and back up your data solely to provide and support the Service.

12. Confidentiality

Each party may receive confidential business, technical, operational, or customer information from the other. Each party must protect the other's confidential information using reasonable care and use it only for purposes connected with the Service or these Terms.

13. Suspension And Termination

You may stop using the Service or uninstall the App at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay applicable fees, create security or legal risk, or use the Service in a way that could harm merchants, customers, Shopify, or TCGSync. On uninstall or termination, we will handle Shopify-originated data in line with our Privacy Policy and Shopify privacy webhook obligations.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee marketplace sales, ranking, revenue, margin, customer conversion, or uninterrupted third-party platform access.

15. Limitation Of Liability

Nothing in these Terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law. Subject to that, we are not liable for indirect, consequential, special, or punitive losses, loss of profit, loss of revenue, loss of goodwill, or loss caused by third-party services outside our control.

16. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where applicable law requires otherwise.

17. Changes To These Terms

We may update these Terms from time to time. We will publish the updated Terms on this page and change the "Last updated" date above. Material changes will be notified to active merchants where practical. Continued use of the Service after changes take effect means you accept the updated Terms.
